Terms of Service
Last updated: October 28, 2026
By accessing or using Backtic's website or services, you agree to these Terms and acknowledge our Privacy Policy, which describes how we collect, use, and protect personal information. If you are agreeing on behalf of a company or organization, you confirm that you have the authority to bind it. If you don't agree to these Terms or the Privacy Policy, don't use the service.
These Terms apply together with the proposal, quote, or contract agreed for each project (the "Project Agreement").
- If these Terms conflict with an accepted Project Agreement, the Project Agreement prevails for that project.
- Together, they are the entire agreement between you and Backtic for the project and replace any earlier discussions or understandings.
- Nothing is promised unless it is written in the Project Agreement or confirmed by Backtic in writing, including by email or message.
You must use Backtic lawfully. You must not:
- Misuse or disrupt the service, or attempt unauthorized access to it.
- Probe, scan, or test the security of Backtic's systems without written permission.
- Submit content or use the deliverables in a way that is unlawful, infringing, or harmful to others.
Provide accurate information and keep your credentials secure. You are responsible for activity under your account and must tell us promptly if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms.
The scope of work for each project is determined by the Project Agreement.
- Only the features, pages, and functionality listed in the Project Agreement are included in the price.
- Work not listed, such as extra pages, features, integrations, content writing, translation, or data entry, is not included unless the Project Agreement says so.
- Any change to the agreed scope must be requested in writing. Backtic will tell you how it affects the price and timeline, and the change begins only after you approve it.
- Additional features, pages, integrations, or changes requested later may cost extra and extend the delivery timeline.
Payment terms, schedules, and fee responsibilities are governed by the following conditions:
- Services are sold as one-time purchases at the price agreed at purchase. Prices exclude taxes unless stated otherwise.
- A 40% advance payment is required before work begins. The remaining balance is due before handover.
- Work begins once Backtic has received the advance payment and the materials needed to start.
- The final website, source code, and other deliverables are handed over only after full payment.
- If any payment is overdue, Backtic may pause work after giving notice. The project timeline is extended by the length of the delay.
- Domain, hosting, payment gateway, and other third-party service costs are the client's responsibility unless the proposal says otherwise.
- Optional maintenance is available for an additional fee. It covers ongoing updates, fixes, and support for the delivered work, as described in the Project Agreement. Maintenance is not required, and you can start or stop it at any time. Stopping takes effect at the end of the current maintenance period.
- If a maintenance payment is overdue, Backtic may suspend maintenance after giving notice.
- Payments are processed by third-party payment providers.
- The client is responsible for all payment provider and transaction fees, including processing fees, currency conversion fees, and applicable taxes.
Delivery and sign-off work as follows:
- Delivery dates are good-faith estimates. They depend on the agreed scope and on you providing materials, feedback, and approvals on time.
- Backtic will tell you when work is ready for review. Please send feedback or approval within the time stated in the Project Agreement, or within 7 days if none is stated.
- If you don't respond within that time, the work may be treated as approved.
- Changes requested after approval are handled under Revisions and Project Scope.
- Final deliverables are handed over after full payment.
Revisions are provided to ensure the deliverables align with agreed specifications:
- Three design revisions are included in the price. A revision is one round of consolidated feedback on a design, not a single individual change.
- Additional revisions or changes to previously approved work may cost extra and extend the delivery timeline.
- Requests that change functionality or add new features are handled under Project Scope, not as revisions.
Timely delivery and successful execution depend on clear collaboration and responsibilities:
- The client must provide content, images, credentials, information, approvals, and feedback on time.
- If the client delays any of these, the project deadline may be extended accordingly.
- If the client does not respond for 30 days, Backtic may treat the project as paused. Work resumes subject to Backtic's availability, and Backtic may treat the project as cancelled under the Cancellation section.
Our refund eligibility and procedures are outlined as follows:
- Refunds follow the rules of the payment provider used for the transaction. Where those rules apply, they take precedence.
- Refund requests must be sent to [email protected].
- After work begins, the advance payment is partially refundable: the refund equals the advance minus the value of work already completed.
- If Backtic is unable to complete the project, the client receives a full refund of all amounts paid to Backtic for that project.
- Once the final deliverables have been handed over, payments for them are non-refundable.
- Payment provider and transaction fees, and third-party costs already paid on the client's behalf, are non-refundable and remain the client's responsibility.
- Maintenance fees are non-refundable for periods already started.
- No refunds for accounts terminated due to Terms violations.
- Approved refunds are returned to the original payment method.
Project cancellation and service termination terms are established as follows:
- Either party may cancel a project by written notice to the other.
- The client pays for all work completed up to the cancellation date, plus any third-party costs Backtic has already committed to for the project. Amounts already paid count toward this.
- Completed work and source code are handed over after cancellation only once the client has paid in full for the work completed up to that date. Until then, they are not handed over.
- Work handed over after cancellation is provided as it stands, may be incomplete, and is provided without warranty.
- Backtic may suspend or terminate services for non-payment or Terms violations.
- Sections that by their nature should continue after termination, including payment, intellectual property, confidentiality, and liability, remain in effect.
You retain ownership of content you submit. You grant Backtic a limited license to host, process, and use it solely to operate the service and deliver your project. You confirm you have the necessary rights to all logos, images, text, and other materials you provide. Backtic is not responsible for the accuracy or legality of the content you supply.
Ownership, licensing, and usage rights for all work and materials are defined as follows:
- Backtic owns all code produced for the project, including the source code and the final deliverables, unless the client requests otherwise in writing before the proposal is accepted. If a transfer of ownership is agreed, it is stated in the Project Agreement and takes effect after full payment.
- Where Backtic retains ownership, the client receives, after full payment, a non-exclusive, perpetual, non-transferable license to use the deliverables, including any source code handed over, for the client's own business.
- Backtic retains ownership of its pre-existing reusable components, templates, libraries, internal tools, and development methods.
- Third-party software, libraries, and services remain subject to their own licenses.
- Unless the client asks otherwise in writing before the project starts, Backtic may show the completed project in its portfolio and marketing materials and may include a credit to Backtic on the website.
- Backtic and its branding, code, and materials belong to Backtic or its licensors. No rights are granted except as stated here.
Each party will keep the other's non-public business and technical information confidential and use it only for the project. This does not apply to information that is already public, or that must be disclosed by law or to advisors and service providers who need it and are bound to keep it confidential.
Backtic may integrate with third-party services such as hosting and domain providers, payment gateways, and email or SMS providers. Their terms apply separately, and you are responsible for keeping your own accounts with them active and in good standing. Backtic is not responsible for their outages, suspensions, policy changes, or technical issues.
Backtic will perform its services with reasonable skill and care and will deliver work that substantially matches the agreed scope.
- For 30 days after final handover, Backtic will fix bugs and defects in the delivered work that don't match the agreed scope, at no extra cost. Report them in writing to [email protected].
- The bug-fix period does not cover issues caused by changes made by anyone other than Backtic, third-party service or hosting problems, or new features and changes. Those fall under Project Scope and Revisions.
- Ongoing updates, fixes, and support after the 30 days are available through optional maintenance.
- Beyond the above, to the extent permitted by law, the service is provided "as is" without warranties of any kind, express or implied.
- Backtic does not guarantee uninterrupted or error-free operation, or any particular business result, including search rankings, traffic, or sales.
To the extent permitted by law, Backtic isn't liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or losses from service interruptions, third-party failures, or security incidents. Our total liability for any claim is limited to 40% of the amount you paid for the affected service.
You agree to defend and compensate Backtic against third-party claims, and related losses and reasonable costs, arising from content you provide, your use of the deliverables in violation of law or third-party rights, or your breach of these Terms.
Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, power or internet outages, government action, or failures of third-party platforms. Affected deadlines are extended accordingly. This does not excuse payment obligations.
These Terms are governed by the laws of Bangladesh.
- Before taking formal action, both parties will try in good faith to resolve any dispute through written notice and discussion for at least 14 days.
- If a dispute isn't resolved, the courts of Bangladesh have jurisdiction.
We may update these Terms from time to time. The date above shows the latest version, and we will give reasonable notice of material changes, for example by email or on our website. A Project Agreement you have already accepted stays under the Terms in effect when it was accepted, unless both parties agree otherwise. Continued use of the service after changes means you accept them.
These final provisions apply to all use of the service:
- If any part of these Terms is found unenforceable, the rest remains in effect.
- Not enforcing a right does not mean Backtic has given it up.
- The client may not transfer its rights or obligations under these Terms without Backtic's written consent.
- Backtic acts as an independent contractor. Nothing here creates an employment, partnership, or agency relationship.
